Creator Agreement

This document describes the terms of the affiliate program (the "Program") under which creators, streamers, coaches, or marketing partners (the "Creator") promote wolo.gg in exchange for commission on purchases by users they refer.

v1.0 — operational draft, pending formal legal review before scaling beyond beta. Terms here apply in good faith; conflicts are resolved 1:1 with the operator until a lawyer-vetted version is published.

1. Parties

Margarit Ibiza, LLC — Delaware LLC, EIN 30-1430776, file 10018352, incorporated November 25, 2024 ("wolo.gg" or "the Company"), and the Creator registered in the system under a unique code (wolo.gg/r/<code>).

2. Service

The Creator promotes wolo.gg through their channels (stream, social, video, podcast, community). In exchange they receive:

• A unique referral link: wolo.gg/r/<code>
• A percentage commission on every credit-pack purchase by users they refer (% set per partnership)
• Access to the creator portal with stats, marketing kit, and configuration

3. Attribution

When a user clicks the Creator's link we set a technical cookie wolo_ref with the code for 30 days (configurable). If they register within that window, the user is attributed to the Creator permanently (lifetime) — even if they later click another creator's link.

For WhatsApp, the code travels in the user's first message to the bot (format ref:<code>) and gets attributed at registration. Discord uses the cookie through OAuth.

4. Commission

The commission percentage is fixed at the Creator's onboarding and applies to gross purchase amount (before taxes / Stripe fees). Default: 20%, renegotiable upward (25%, 30%) based on volume and partnership tier. Default contract: lifetime — the Creator earns commission on every purchase by attributed users for as long as they remain customers, with no time limit.

4.1 Snapshots

The percentage is frozen at purchase time. If we renegotiate later, prior commissions stay at their historical rate.

4.2 Modifications

The Creator may request renegotiation at any time by contacting wolo.gg. The Company may adjust the default percentage for new creators without affecting existing ones.

5. Bonus for referees

In addition to the Creator's commission, users who arrive via their link receive extra welcome credits on top of the platform default. The amount is set at the Creator's onboarding (typically 5).

6. Commission payout

Commissions accumulate as pending until the payout cycle. Default: monthly, when the pending balance exceeds $20 USD; if not, it carries to the next month.

The Creator chooses their payout method:

• Platform credits — wolo.gg applies credits to the Creator's wolo.gg user account at the configured conversion rate (default 5 credits per USD). No paperwork.
• Cash / wire transfer — wolo.gg transfers via mercado-pago / paypal / wire based on the Creator's country. Requires invoice issued by the Creator to Margarit Ibiza, LLC.

7. Reversals

If a referred user receives a Stripe refund, the corresponding commission is marked reversed and netted against the next payout. If the commission was already paid, wolo.gg deducts it from the next cycle or requests a refund from the Creator.

8. Conduct & obligations

The Creator agrees to:

• Not self-refer (creating fake users or using alt accounts of their own to inflate commissions).
• Not incentivize fake registrations or sell access to the link.
• Not engage in spam or misleading promotion (e.g. promising features that don't exist, hiding the affiliate nature of the link).
• Comply with their jurisdiction's laws regarding advertising / affiliate disclosure (#ad / #sponsored as applicable).
• Not use the wolo.gg brand in a way that could damage reputation or imply official affiliation with Microsoft, Xbox Game Studios, or World's Edge.

9. Termination

Either party may terminate this agreement with 30 days notice. wolo.gg may terminate immediately and without payment of pending commissions in case of serious breach (fraud, proven self-referral, reputational damage).

Commissions accrued but unpaid at the time of termination (not arising from breach) are paid in the following cycle. Existing attributions (users already registered before termination) continue to pay lifetime commissions; new attributions are cut off.

10. Confidentiality

The Creator does not share individual user stats or wolo.gg's private technical info (portal access, pre-release marketing kit content). Aggregated data (signups, total commissions) is freely usable.

11. Privacy & personal data

wolo.gg does not share personal user information with Creators — only aggregates. Referees retain the same GDPR rights described in the privacy policy, including the right to opt out of attribution.

12. Limitation of liability

wolo.gg does not guarantee a minimum volume of signups, conversions, or revenue. Program performance depends on the Creator's promotion effort and variables outside wolo.gg's control (market, audience, content quality).

13. Jurisdiction

This agreement is governed by the laws of the State of Delaware, United States. Disputes not resolved amicably are subject to the exclusive jurisdiction of Delaware state courts. The Company may operate through providers in other jurisdictions (Stripe US, Supabase EU, WHAPI, Anthropic) without changing the contract jurisdiction.

14. Updates to the agreement

wolo.gg may update these terms by publishing a new version at this URL. Changes apply to new creators at publication time; existing creators remain under the version in effect at their onboarding until they expressly accept the new version. Major changes (% change, end of lifetime, etc.) require re-acceptance; minor changes (wording fixes, new portal fields) do not.

15. Acceptance

The Creator accepts this agreement at signup time (timestamped on their internal record with the agreement version). Manually-onboarded Creators accept implicitly upon first portal use.
